INDEPENDENT CONTRACTOR AGREEMENT
Independent contractor is an independent contractor willing to provide yoga skills and abilities to Intrinsic Mind Holistic Health and Wellness Centre.
In consideration of the mutual terms, conditions and covenants hereinafter set forth, Intrinsic Mind Holistic Health and Wellness and Independent contractor agree as follows:
1. Intrinsic Mind Holistic Health and Wellness hereby Hire the Independent contractor as an
Independent contractor, and the Independent contractor hereby accepts.
2. Termination
This agreement shall commence at the time of signature. There will be a trial period of 30 days during and at the commencement of which Intrinsic Mind Holistic Health and Wellness may without reason cancel the contract at any moment. After the first thirty (30) days of the term, either party may, without cause, terminate this agreement by giving 30 days’ written notice to the other. In the case of termination, the contractor must return all monies received for services not performed and all company materials. This must be done in a reasonable time frame, so that the client or Intrinsic Mind Wellness are not inconvenienced.
3. Payment
Intrinsic Mind Holistic Health and Wellness shall pay to the Independent contractor and the Independent contractor shall accept from Intrinsic Mind Wellness as compensation for all classes to be provided pursuant to this Agreement, the sum stated as below for all classes:
Whilst in Covid restriction: Classes in house and Live are charged at $30
Once classes are back to full capacity, fees are as stated below.
1hr Classes = $55
ONLINE Live Classes = $35
75 Minute Classes = $65
1.5 hrs hour Classes = $75.00
If there is a no show to a class $25 will be paid, not full fees
Corporate 1 hour classes = $85
1:1 Personal Training/yoga classes =$85
Intrinsic Mind Holistic Health and wellness shall not reimburse the contractor for any travel or related expenses.
ONLINE LIVE CLASSES are owed by Intrinsic Mind Holistic Health and Wellness.... All classes are to be uploaded and sent through to Leisa in order to put into the back-end Membership area (these classes are loaded into youtube as restricted for members only). If for any reason you do happen to leave Intrinsic Mind, these classes will remain the property of Intrinsic Mind as part of the membership program.
4. Unable to perform services
If the Independent contractor becomes unable to perform services pursuant to this Agreement by reason of illness, incapacity or death, compensation shall cease upon the happening of the event. The contractor must return all monies received for services not performed for that client in a reasonable time frame, so that the client or Intrinsic Mind Holistic Health and Wellness are not inconvenienced.
5. Representation
The Independent contractor is an Independent contractor, and nothing contained in this Agreement shall be deemed or interpreted to constitute the Independent contractor as a partner, agent or employee of Intrinsic Mind Holistic Health and Wellness, nor shall either party have any authority to bind the other.
6. Communication
All notices required or permitted to be given hereunder shall be in writing and may be delivered personally, by Certified Mail or email addressed to the party’s last known address.
7. Conduct of Contractors
In the event of the Business notifying the Contractor of the following:
a) Gross or habitual misconduct on the part of any Contractor
or
b) Conduct which results in Intrinsic Mind Holistic Health and Wellness Centre having no
confidence in
the Contractors ability to perform his or her duties properly or responsibly;
or
c) Conduct which causes or threatens to cause serious physical or financial harm to Intrinsic Mind
Holistic Health and Wellness, other Contractors or Clients,
The Contractor will take all reasonable steps to ensure that he or she complies with all reasonable directions of the Business.
If the Contractor fails to comply with the above requirements, this constitutes a material breach of this document.
8. Leave
The contractor is required to arrange an alternate practitioner who is approved by Intrinsic Mind Holistic Health and Wellness if unable to teach a class.
9. Notice of Accidents
a) The Contractor must deliver to Intrinsic Mind Holistic Health and Wellness prompt written
notice of any accidents that occur during a class.
b) The Contractor must comply with the standard Reporting Guidelines in accordance with health
and safety legislative requirements. Incident reports are under the kitchen sink with the First
aid kit
10. RELEASE AND INDEMNITY
Release of Intrinsic Mind Holistic Health and Wellness
Intrinsic Mind Holistic Health and Wellness shall not be liable to the Contractor for any claims suffered or incurred for:
a) any death of or injury to persons; or
b) any loss of or damage to any property of, or in, the possession of the Contractor,
Caused or contributed to, without limitation, by any negligence, nuisance, breach of statutory duty or wilful act or omission of the contractor.
11. CONFIDENTIAL INFORMATION
The Contractor shall not during the continuance of this Agreement use for their own purpose or divulge to any person, firm or company (except under the authority of Intrinsic Mind Holistic Health and Wellness or if ordered to do so by a Court of relevant and competent Jurisdiction) any information or fact obtained in the course of performing their duties (and which is not in the public domain) relating to the:
a) Methods and procedures used by Intrinsic Mind Holistic Health and Wellness in carry on
business;
b) Business (including prospective business finances);
c) Details of or about Intrinsic Mind’s current or past clients; and
d) Inventions or technical processes of Intrinsic Mind Holistic Health and Wellness or any
Associate.
12. OBLIGATIONS AFTER CONTRACTUAL RELATIONSHIP
You will not:
a) For the first six months after the end of your contract with Intrinsic Mind Holistic Health and
Wellness
either on your own account or on behalf of any other legal person directly or indirectly engage
in or be concerned with any trade or business in the faithful performance of which it could be
reasonably anticipated that you would or would be required or expected to use or disclose any
confidential information or trade secrets of Intrinsic Mind Holistic Health and Wellness or any of
its Associates;
b) For the first 6 months after the end of your employment with us you agree not to either
directly or indirectly call on, solicit or take away from Intrinsic Mind Holistic Health and
Wellness students / corporation members.
c) Each of the above restrictions is separate and severable from the other. If one is unenforceable
for any reason but would be enforceable if some of its wording were deleted, it shall apply with
such deletions as are necessary to make it enforceable.
